We are looking for a skilled SVP and General Counsel to own and guide all legal and compliance activities at GuidePoint Security (“GuidePoint”). The SVP and General Counsel, reporting to the Chief Financial Officer, serves as a strategic legal executive and counselor to the senior executive team and Board on high-priority projects and strategic decisions. As part of the corporate leadership team, they are both a leader and a business partner, providing counsel on issues facing GuidePoint, as well as the executive overseeing cost-effective legal, risk, compliance, and government and regulatory affairs for GuidePoint.

In addition to managing legal, risk, compliance, corporate governance, and regulatory affairs, the SVP and General Counsel is a strategic contributor to the company’s direction and growth, working closely with our Sales, Marketing, Operations, Professional Services, Security and Contracts teams. The SVP and General Counsel will work hand in hand with all other operating executives to push for broader, deeper strategic thinking to create short and long term impact at this rapidly scaling cyber security company.

Roles and Responsibilities:

  • Consult and advise executive leadership to understand GuidePoint’s business objectives and provide guidance to bring them into alignment with our strategy.
  • Serve as Corporate Secretary to the Board of Directors and working closely with the Board to provide guidance on corporate governance matters and relevant laws, rules and regulation.
  • Lead GuidePoint’s board work including preparing for and managing all follow-ups from board meetings.
  • The SVP and General Counsel will be the primary conduit between the board and executive leadership team for managing corporate risk.
  • Manage the corporate capital structure, securities compliances and be involved in any financings, equity issuances, debt.
  • Managing a team of legal and contracts professionals and building the legal department as the company continues to experience exponential growth.
  • Analyze and lead potential M&A, technology acquisitions, joint ventures, investments, international expansion, and other strategic transactions in all stages, from performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration and/or working with outside counsel as needed.
  • In partnership with our Chief Information Security Officer (“CISO”), lead GuidePoint’s governance, risk and compliance program, including helping manage its anti-bribery and anti-corruption activities, risk management, insurance, crisis management, business continuity, incident response, and security training programs.
  • Negotiate, draft, develop, manage and oversee a broad array of complex technology vendor and customer agreements including but not limited to reseller, distributor, alliance/partner agreements, subscriptions, and professional services statements of work.
  • Oversee all other day-to-day legal aspects of the company’s business including data privacy (including GDPR compliance), IP, HR and any international matters.
  • Selecting and efficiently managing US and international outside counsel engaged to provide legal services to the company as needed.
  • Work with marketing to protect corporate brand initiatives.
  • Implement and manage a corporate and legal entity structure optimized for legal compliance and tax efficiency.
  • Providing counsel and representation to the company and overseeing all litigation and negotiation of disputed matters in a way that protects the company’s rights and reputation; ensuring legal implications are considered in all business operations.

Required Experience:

  • Previous General Counsel experience, with public company and B2B SaaS experience preferred.
  • Graduate of Juris Doctor and a licensed lawyer in good standing with a state bar.
  • 10+ years of related experience as in-house counsel and a professional background in corporate advisory practice.
  • Experience scaling a national organization, including entering new markets, leading remote teams, IPO readiness, public and private fundraising, and M&A with specific experience in national and/or global acquisitions.
  • Demonstrated ability to work closely with and alongside Security, Finance & HR leadership to ensure seamless flow between the teams as it relates to risk management and compliance.
  • Excellent management, leadership skills, and strong business acumen.
  • Well-developed communication and interpersonal skills to represent the company credibly internally and externally.
  • High integrity, excellent judgment in ambiguous and challenging circumstances. Highly collaborative and low ego, adaptable and able to operate effectively in high-pressure situations.
  • Ability to work and communicate in a remote environment, and to manage a remote team.

Travel Requirements:

  • Travel on an as needed basis (15-25%)

Physical Requirements:

  • Sedentary work
  • Substantial movement of the wrists, hands, and/or fingers for a minimum of 8 hours a day
  • Required to have close visual acuity to view computer terminal and/or extensive reading for a minimum of 8 hours a day
