Dave is looking for an experienced SEC Reporting and Legal Director to join its corporate legal team. This role will be expected to handle a wide breadth of day-to-day legal issues.
This role will work closely with cross-functional partners, especially in Finance, Accounting, and Investor Relations. In this position, the SEC Reporting and Legal Director will regularly interact with senior executives across the organization and outside SEC counsel.
As SEC Reporting and Legal Director, you will report to the Director, Corporate and Commercial Legal, and will work closely with the Chief Legal Officer.
Act as lead advisor for SEC reporting and a broad range of securities law compliance matters, including 10-K, 10-Q, 8-K, Section 16 and Section 13 filings and other shareholder related matters, and participate in the Disclosure Committee process.
Oversee preparation of all aspects of proxy statement and annual meeting planning and logistics.
Provide legal guidance on external communications such as earnings releases, press releases, investor presentations, investor marketing materials, and quiet period compliance.
Ensure compliance with SEC and Nasdaq rules and regulations.
Support corporate governance matters, including board governance and committee matters.
Manage insider trading compliance program, including managing trading windows, 10b5-1 plans and pre-clearances and advising Section 16 insiders on a broad range of issues.
Support governance matters, including advising on Delaware corporate law, charter and bylaw provisions, committee charters, Code of Conduct and other governance policies, independence and related party transaction matters, policy updates, and corporate compliance training initiatives.
Support the board of directors and board committees, including assisting with the preparation of board and committee materials, meeting minutes, and annual governance calendars. Prepare agenda for and attend Nomination and Governance Committee meetings.
Provide legal support for Dave’s Equity plan;
Keep abreast and advise on the potential impact of new rules, regulations, market trends, and best practices in the areas of securities law and corporate governance.
Act as a key business partner and advisor to the management team as well as the investor relations, finance, equity, human resources, and corporate communications functions
As needed, support major transactions, including M&A and strategic transactions.
Assist other teams with projects on an as-needed basis.
Candidate must possess a Juris Doctorate (J.D.) degree and be qualified to practice law in a United States jurisdiction.
6+ years of relevant SEC advisory and corporate governance experience in a law firm or corporate law department.
Expert knowledge of applicable Corporate governance, SEC and NASDAQ rules and best practices.
M&A, Equity and/or fintech knowledge a plus.
Strong communication skills, ability to independently lead and influence key stakeholders in a fast-paced environment with competing priorities.
Business judgment and ability to assess legal risk while providing practical advice in ambiguous and changing scenarios.
A team-player mindset with the ability to work collaboratively across various functions and with colleagues at all levels.
Curiosity and enthusiasm with a drive to take ownership of projects, build relationships cross-functionally, and work on cutting-edge legal issues.
